5. Professional Services Engagements

For clients engaging Bold Heart for systems design, integration, or consulting services, the following additional terms apply and will be further detailed in a separate Statement of Work or Service Agreement:

• Scope of Work: Each engagement is governed by a mutually agreed Statement of Work that defines deliverables, milestones, timelines, fees, and acceptance criteria.
• Fees and Payment: Fees are as specified in the applicable Statement of Work. Invoices are payable within the terms specified unless otherwise agreed in writing. Late payments may incur interest at the rate of 1.5 percent per month or the maximum permitted by law, whichever is lower.
• Client Responsibilities: Clients shall provide timely access to personnel, systems, facilities, and information necessary for the performance of services. Delays caused by the client may affect timelines and fees.
• Confidentiality: Both parties agree to protect each other’s confidential information using the same degree of care used to protect their own confidential information, but not less than reasonable care.
• Warranties: We warrant that services will be performed in a professional and workmanlike manner in accordance with industry standards. The exclusive remedy for breach of this warranty is re-performance of the non-conforming services or a refund of fees paid for those services.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Shanxi Yongyi Technology Co., Ltd. and its officers, directors, employees, agents, and affiliates shall not be liable for:
